Terms of Service
Standard Operating Agreement — Effective 1 January 2025
1. Acceptance of Terms
By creating an account or using RCMHelper, you accept these Terms of Service and our Privacy Policy. You represent that you are duly authorized to enter into this agreement on behalf of yourself or your organization. If you do not agree, do not use the Service.
2. About RCMHELPER
RCMHelper is operated by RCMHELPER, a company registered in the Arab Republic of Egypt. Registered address and contact: info@rcmhelper.com. The Service is a cloud-based Software-as-a-Service (SaaS) platform accessible globally to healthcare organizations, billing departments, physicians, and related professionals.
3. Clinical Decision Support — Important Disclaimer
RCMHelper is a clinical documentation and revenue cycle management decision-support tool only. It does not constitute medical advice, clinical diagnosis, or treatment recommendations. All CDI suggestions, ICD-10 code proposals, medical necessity assessments, and AI-generated content are intended solely to assist licensed healthcare professionals — they are not a substitute for professional clinical judgment.
All clinical, coding, and billing decisions remain the sole responsibility of the licensed healthcare professional or authorized billing specialist using the platform. RCMHELPER assumes no liability for clinical outcomes, coding errors, claim denials, or regulatory penalties arising from decisions made using or influenced by the Service.
4. AI-Powered Features — User Obligations
The Service uses third-party artificial intelligence models to process clinical content, suggest ICD-10 codes, identify CDI gaps, and generate documentation summaries. By using AI-powered features, you acknowledge and agree that:
(a) AI outputs may contain errors, omissions, or clinically inaccurate suggestions and must be reviewed by a qualified professional before any clinical, coding, or billing decision is made;
(b) You bear sole and exclusive responsibility for all content submitted to AI-powered features. You represent and warrant that all submitted content either (i) does not contain personally identifiable health information, or (ii) is submitted with all legally required patient consents and authorisations in place under applicable law;
(c) RCMHELPER applies automated technical de-identification measures to content prior to AI processing. Notwithstanding the foregoing, no automated de-identification process guarantees the complete removal of all personally identifiable information. RCMHELPER expressly disclaims any warranty that such measures will achieve full anonymisation. Residual identification risk remains, and you assume all associated liability;
(d) A current list of AI subprocessors and applicable transfer safeguards is available in our Privacy Policy. Content submitted through AI features may be processed by these subprocessors under EU Standard Contractual Clauses;
(e) RCMHELPER shall bear no liability for any privacy breach, regulatory fine, or third-party claim arising from your failure to comply with this section.
5. Subscription & Billing
The Service is offered on a subscription basis. Billing currency is displayed at checkout and may vary by region (USD, EUR, EGP, SAR, AED, or other supported currencies). All prices are shown inclusive of applicable taxes where required by law.
Annual plans are offered at a discount over monthly billing. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time through your account settings; access continues until the end of the paid period. RCMHELPER reserves the right to modify pricing with at least 30 days' written notice.
6. Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must immediately notify us at info@rcmhelper.com of any unauthorized access or suspected security breach. RCMHELPER is not liable for losses arising from unauthorized account use resulting from your failure to maintain credential security.
7. Data Processing & Privacy
RCMHELPER acts as a data processor with respect to personal and health data you submit to the Service, and as a data controller with respect to account and usage data. By using the Service, you authorize RCMHELPER to process submitted data as described in our Privacy Policy.
Data is stored on servers located in the European Union. International transfers of personal data to AI subprocessors (OpenAI, Anthropic) are governed by EU Standard Contractual Clauses (SCCs) as required under GDPR Article 46.
For users whose patients are residents of the Kingdom of Saudi Arabia, you acknowledge that Saudi PDPL obligations apply to you as the data controller. You are responsible for ensuring lawful basis for processing and for providing required disclosures to data subjects under applicable law.
8. Acceptable Use
You agree not to: (a) submit data to the Service in violation of applicable data protection laws or without required patient consents; (b) attempt to reverse-engineer, copy, or resell any part of the Service; (c) use the Service to transmit malware, spam, or unlawful content; (d) share your account credentials with unauthorized third parties; (e) use AI-generated outputs as a substitute for professional clinical or legal review.
9. Intellectual Property
All software, algorithms, UI designs, and proprietary methodologies forming the Service are the intellectual property of RCMHELPER or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You retain ownership of all clinical data and documents you submit.
10. Limitation of Liability
To the maximum extent permitted by applicable law, RCMHELPER shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of revenue, claim denials, regulatory fines, clinical adverse events, or data breaches caused by third-party AI subprocessors.
RCMHELPER's total aggregate liability for any claim arising under or related to these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
11. Termination
Either party may terminate this agreement at any time. RCMHELPER may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to access the Service ceases. You may request export of your data within 30 days of termination, after which data may be deleted in accordance with our Privacy Policy.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Cairo, Egypt.
Users located in the European Union may also have rights under applicable EU consumer protection laws that cannot be limited by this clause. Nothing in this section limits any mandatory rights you may have under the laws of your country of residence.
13. Changes to These Terms
RCMHELPER may update these Terms from time to time. Material changes will be notified by email to the address on your account at least 30 days before taking effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes. If you do not agree to updated Terms, you must discontinue use and may request account closure.
